Executive Summary
The European Union’s insurance regulator is preparing tougher supervisory expectations for private-equity acquisitions of insurers and reinsurers.
EIOPA Chair Petra Hielkema has said prospective buyers must demonstrate a credible long-term commitment to policyholders, rather than relying upon short investment horizons or strategies centred primarily on financial returns.
EIOPA’s proposed supervisory statement covers acquisitions, mergers, portfolio transfers and the continuing supervision of private-equity-owned insurers. It is intended to promote consistent, risk-based supervision across EU member states.
The statement is still being finalised and should not yet be described as binding new legislation.
Why it Matters
Insurance liabilities may continue for decades, while private-equity investment periods are often considerably shorter.
Regulators are concerned about:
- pressure to extract capital or dividends;
- increased exposure to private credit;
- complex intra-group transactions;
- offshore reinsurance arrangements;
- conflicts between investors and policyholders;
- unclear exit strategies.
UK Impact
The proposed EU approach will not apply directly to purely UK-regulated insurers, but it may affect UK private-equity firms, insurance groups and investors acquiring businesses within the European Economic Area.
UK firms may also face greater scrutiny where transactions involve cross-border reinsurance or group structures.
Global Impact
The development reflects wider regulatory concern over private-capital ownership of insurers, particularly where policyholder assets are invested in illiquid or affiliated credit instruments.
Transactions may require longer approval periods and more detailed evidence regarding governance, capital, investment strategy and ownership intentions.
Our View
Prospective buyers should expect regulators to focus not only on financial capacity at acquisition, but also on the full ownership and exit strategy.
Recommended actions:
- Prepare a credible long-term ownership plan.
- Demonstrate protection of policyholder interests.
- Review affiliated investment and reinsurance arrangements.
- Document capital and liquidity support commitments.
- Assess governance and conflict-of-interest controls.
- Build longer regulatory timelines into transactions.
Risk Indicator: Medium / High
